Acceptance of these Terms
By accessing this website or using a Cargavia Technologies platform, you confirm that you can form a binding contract with Cargavia Technologies Inc. and that you agree to these Terms. If you are entering into these Terms on behalf of an organization, you confirm that you have authority to bind that organization.
Individual platforms operated by Cargavia Technologies Inc. — including Cargavia, CargaExchange, and Mandivo — may publish their own product-specific terms. Those terms apply to activity on the relevant platform. In the event of a conflict, the product-specific terms control for activity on that platform.
Services overview
Cargavia Technologies Inc. develops and operates digital infrastructure for logistics, marketplaces, communications, automation, and business operations, including:
- Websites and web platforms.
- Loadboard and logistics infrastructure.
- Marketplace systems and commerce infrastructure.
- Workflow automation and operational tooling.
- Messaging and communications systems, including WhatsApp integrations.
- AI-assisted features such as classification, drafting assistance, and triage.
- APIs and developer-facing services that support the above.
Features, capabilities, and availability of each platform may change from time to time. We do not commit to maintaining any particular feature in perpetuity.
Eligibility & accounts
Our services are intended for business and operational use by individuals and organizations that can lawfully form a contract. If you create an account, you agree to provide accurate information, keep it up to date, and maintain the confidentiality of your credentials. You are responsible for all activity occurring under your account.
You agree to notify us promptly of any suspected unauthorized use of your account or any other security incident affecting your account.
Acceptable use
Your use of the site and our platforms is also subject to our Acceptable Use Policy, which is incorporated by reference. Use of our messaging features is also subject to our WhatsApp Messaging Policy.
You agree not to use the site or our platforms to:
- Violate applicable law or the rights of others.
- Send spam, unsolicited bulk communications, or deceptive content.
- Interfere with or disrupt the security, integrity, or performance of our services or the underlying systems.
- Attempt to gain unauthorized access to any portion of the services, related systems, or networks.

- Transmit malicious code, malware, or harmful content.
- Impersonate any person or misrepresent your affiliation.
Intellectual property
The site, our platforms, and the underlying technology, software, content, designs, and trademarks are owned by Cargavia Technologies Inc. or its licensors and are protected by applicable intellectual property laws. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the site and the applicable platform features made available to you.
You retain ownership of content and data you submit to or generate through our platforms ("Customer Content"). You grant us a worldwide, royalty-free license to host, process, transmit, and use Customer Content solely as necessary to provide, secure, and improve the services and as otherwise described in our Privacy Policy.
Feedback you provide to us regarding the services is non-confidential and may be used by us without restriction or obligation.
Third-party services & integrations
Our services may integrate with or rely on third-party services — including cloud infrastructure, communications providers (such as the WhatsApp Business API), analytics, payment processors, model providers, and other vendors. Your use of those third-party services is governed by the third party's own terms and policies.
We are not responsible for third-party services, and we do not endorse them solely by virtue of an available integration. If a third-party service changes or becomes unavailable, the affected functionality of our platforms may be impacted.
AI-assisted features
Some of our platforms include AI-assisted features. Outputs of AI-assisted features are generated automatically and may be incorrect, incomplete, or unsuitable for a particular purpose. You are responsible for reviewing AI-assisted outputs and for deciding how to use them.
AI-assisted features must not be used to generate content that violates these Terms, our Acceptable Use Policy, or applicable law, including content that is deceptive, defamatory, infringing, or designed to evade platform policies.
Messaging & WhatsApp
Where you use our messaging features, including any WhatsApp integration, you agree to comply with our WhatsApp Messaging Policy, the policies of the underlying messaging provider (including Meta's WhatsApp Business and Commerce policies), and applicable laws governing electronic communications.
You are responsible for obtaining valid, demonstrable consent from message recipients, providing accurate sender identification, honoring opt-out requests, and ensuring that all messages comply with platform and legal requirements.
Fees, subscriptions & billing
Certain platforms or features may be offered for a fee. Where fees apply, the applicable platform's pricing terms, subscription terms, and billing terms will govern. Unless otherwise stated, fees are non-refundable except as required by applicable law.
You are responsible for any taxes associated with your use of paid services, except for taxes based on our net income.
Service availability & changes
We work to keep our services available and reliable, but we do not guarantee uninterrupted, error-free, or fully secure operation. Services may be modified, suspended, or discontinued in whole or in part at any time, with or without notice.
Maintenance, updates, third-party dependencies, and operational events may affect availability. We are not liable for any loss or damage resulting from such events, except as required by applicable law.
Disclaimers
To the maximum extent permitted by law, the site and the platforms are provided "as is" and "as available" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
We do not warrant that the services will be uninterrupted, accurate, complete, secure, or free of harmful components, or that any defect will be corrected.
Limitation of liability
To the maximum extent permitted by applicable law, Cargavia Technologies Inc., its affiliates, and their respective officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, lost data, business interruption, or loss of goodwill, arising out of or relating to your use of the site or our platforms, even if advised of the possibility of such damages.
In no event will our aggregate liability arising out of or relating to these Terms exceed the greater of (a) the amounts paid by you to Cargavia Technologies Inc. for the applicable service in the twelve (12) months preceding the event giving rise to the claim, or (b) one hundred Canadian dollars (CAD 100).
Some jurisdictions do not allow certain limitations of liability. In those jurisdictions, our liability is limited to the maximum extent permitted by law.
Indemnification
You agree to indemnify, defend, and hold harmless Cargavia Technologies Inc. and its affiliates from and against any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to (a) your use of the site or our platforms, (b) your violation of these Terms or any policy referenced in them, (c) Customer Content you submit, or (d) your violation of applicable law or the rights of any third party.
Suspension & termination
We may suspend or terminate your access to the site or any platform at any time, with or without notice, where we reasonably believe you have violated these Terms, any policy referenced in them, applicable law, or where required to protect the security or integrity of our services or users.
Sections that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, indemnification, and governing law — will survive.
International usage
Cargavia Technologies Inc. is a Canadian technology company that operates internationally, with a primary focus on Latin America. You are responsible for complying with all applicable laws in the jurisdictions where you access and use our services. Availability of specific features may vary by jurisdiction.
Governing law & disputes
These Terms are governed by the laws of Canada and, where applicable, the laws of the province in which Cargavia Technologies Inc. is incorporated, without regard to its conflict of laws principles. Specific platforms may identify a different governing law for that platform's product-specific terms.
The parties agree to attempt in good faith to resolve any dispute informally before initiating formal proceedings. Where formal proceedings are required, they will be brought in the courts of competent jurisdiction in Canada, unless otherwise agreed in writing.
Changes to these Terms
We may update these Terms from time to time. When we do, we will update the "Last updated" date at the top of this page. Material changes will be reflected here and, where appropriate, communicated through additional means. Your continued use of the site or our platforms after such updates means you accept the revised Terms.
